The EIB, the European Union’s bank, is seeking to recruit for its Legal Directorate (JU), Operational Policy, Mandates and Non-EU Operations Department (OPS-POL), Restructuring, Funds and Venture Debt Division (RFV) at its headquarters in Luxembourg, a (Associate) Funds Lawyer*.

This is a full time position at grade 4/5 for which the EIB offers a permanent contract.

Panel interviews are anticipated for February 2024.

Purpose

The Restructuring, Funds and Venture Debt Division (RFV), deals with the legal documentation and legal issues for debt restructuring and fund investments in and outside the European Union, as well as Venture Debt.

As a successful candidate, you will assist the Head of Division together with other lawyers, in providing legal support to the operational Directorates and carrying out work relating to tasks within the Division’s remit. The main focus will be on the fund investments. This involves legal work on fund investments where EIB is an investor.

Operating Network

You will act under the authority of the Head of Division, in cooperation with the other lawyers of the Division and in accordance with the priorities established by the Head of Division.

The post may involve a limited amount of travel for negotiations and signatures of legal documentation and contracts.

Accountabilities

  • Manage negotiations concerning the fund operations handled by the Division, working with documents subject to numerous jurisdictions and with counterparts in several countries (and with internal counterparts in several different areas of the Bank)
  • Draft or review documents, provide advisory legal support, finalise contracts, complete all related legal formalities and legal monitoring (including post-signature events), if needed with the assistance of external counsel
  • Contribute to the development of standard legal documentation for the EIB operations and to the sharing of knowledge on legal documentation for the Bank’s products
  • Contribute to the development and evolution of contractual and operational policy
  • Contribute to research on legal matters in more standard transactions or activities
  • Develop and maintain constructive relationships with other directorates within the Bank
  • Develop and maintain relationships within the Bank and represent EIB externally
  • Contribute to legal research on legal matters and developments relevant to the Bank’s interests in order to maximise knowledge in legalities pertaining to relevant matters and to offer informed legal advice
  • Keep up-to-date with legal developments in legislation, regulations and jurisprudence pertaining to the relevant region or domain. Share relevant knowledge.

Qualifications

  • University degree (minimum an equivalent to a Bachelor) preferably in law. Professional legal qualification in either a common law or civil law jurisdiction would be an advantage;
  • At least 3 years of relevant, professional experience preferably in the field of alternative investment fund (AIF) vehicles having been acquired with a firm of international repute or the in-house department of a financial institution or a fund/asset manager;
  • Significant experience in the drafting and negotiation of fund documentation in English would be an advantage;
  • Solid experience in the area of fund documentation review for investors would be an advantage;
  • Very good knowledge of the standard computer tools;
  • Excellent knowledge of English and/or French (*), with a good command of the other. (Knowledge of other EU languages would be an advantage).

(*) Unless stated explicitly as a required qualification, a good command of French is not a pre-requisite for hire. As both English and French are however official working languages of the EIB, proficiency in both languages is a pre-requisite for your future career development. Any language clause in your contract must be fulfilled in order for you to be eligible for a promotion (either via the annual appraisal cycle or via an internal selection process). Proficiency is understood to mean the attainment of level 5 of the Inter Institutional language courses, corresponding to B1.2 of the Common European Framework of Reference for Languages (CEFRL). The Bank offers appropriate training support.
